1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Admitly ("Admitly," "we," "us," or "our"), the operator of admitly.com and all related subdomains, applications, and services (collectively, the "Platform").
By creating an account, clicking "Sign Up," accessing any portion of the Platform, or otherwise using any service offered by Admitly, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
If you are using the Platform on behalf of an organization, school, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, and "you" shall refer to both you and that entity.
2. Description of Service
Admitly is a college admissions planning and organization platform designed to help students, families, and educational counselors manage the college application process. The Platform may include, but is not limited to, the following features:
- College list building, tracking, and match scoring
- Application deadline tracking and milestone management
- AI-powered essay review and writing assistance tools
- Counselor-student collaboration portals
- Document storage and application progress dashboards
- Admissions news and resource aggregation ("Admissions Pulse")
- Communication tools between students and counselors
Admitly reserves the right to modify, suspend, or discontinue any feature or the entire Platform at any time, with or without notice, and shall not be liable to you or any third party for any such modification, suspension, or discontinuation.
3. Eligibility
To use the Platform, you must:
- Be at least 13 years of age. Users between 13 and 17 must have verifiable parental or guardian consent.
- Have the legal capacity to enter into a binding agreement.
- Not be prohibited from using the Platform under applicable law.
- Not have had a previous account terminated for violations of these Terms.
If you are under 13 years of age, you are not permitted to use the Platform under any circumstances. If we learn that a user is under 13, we will promptly delete their account and all associated data.
By using the Platform, you represent and warrant that you meet all eligibility requirements.
4. Account Registration & Security
To access certain features of the Platform, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information to keep it accurate
- Keep your password confidential and not share it with any third party
- Notify us immediately at support@admitly.com upon becoming aware of any unauthorized use of your account
- Accept responsibility for all activities that occur under your account
Admitly will not be liable for any loss or damage arising from your failure to comply with these security obligations. You may not transfer your account to another person without our prior written consent.
5. License & Permitted Use
Subject to your compliance with these Terms, Admitly grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform solely for your own personal, non-commercial use in connection with the college admissions process.
This license does not include any right to:
- Resell or commercially exploit the Platform or its content
- Scrape, crawl, or data-mine the Platform
- Copy, modify, or create derivative works of the Platform or its content
- Frame or mirror the Platform on any other website
- Use the Platform for any unauthorized commercial purpose
6. Prohibited Conduct
You agree not to:
- Use the Platform for any unlawful, harmful, or fraudulent purpose
- Impersonate any person or entity, including Admitly staff or another user
- Upload or transmit viruses, malware, or any code designed to disrupt, damage, or limit the functionality of the Platform
- Attempt to gain unauthorized access to any portion of the Platform or its related systems
- Harass, bully, threaten, or intimidate other users or Admitly personnel
- Submit false, misleading, or plagiarized content through AI or essay tools
- Use the Platform in any manner that could damage, disable, overburden, or impair it
- Collect or harvest any personally identifiable information from other users
- Use the Platform to distribute unsolicited commercial communications ("spam")
- Reverse engineer, decompile, or disassemble any aspect of the Platform
Violation of this section may result in immediate account termination and, where appropriate, referral to law enforcement authorities.
7. AI Tools & Content Disclaimer
The Platform may offer AI-powered features including, but not limited to, essay scoring, feedback, suggestions, college match recommendations, and content generation. You understand and agree that:
- AI outputs may be inaccurate, incomplete, biased, or inappropriate for your specific circumstances.
- You bear sole responsibility for how you use, adapt, or submit any AI-generated content to colleges or other institutions.
- Submitting AI-generated text as your own work to educational institutions may violate their academic integrity policies. Admitly is not responsible for any consequences arising from your use of AI-generated content.
- College match scores are algorithmic estimates only and do not represent guarantees, predictions, or advice about your likelihood of admission.
- Admitly makes no representation that AI features are free from errors, and the outputs should not be used as the sole basis for any significant decision.
8. No Admission Guarantee
College admissions decisions are made solely by individual institutions based on a wide range of factors outside Admitly's knowledge or control. Admitly expressly disclaims any liability for admission outcomes, scholarship awards, financial aid determinations, or any other decisions made by third-party educational institutions.
You agree that you have not relied upon any representation by Admitly regarding specific admission outcomes as a basis for using the Platform or making any financial, educational, or personal decisions.
9. Intellectual Property
The Platform and all of its content — including but not limited to the Admitly name, logo (the Raven mark), design systems, software, text, graphics, scoring models, data compilations, and user interface elements — are the exclusive property of Admitly and its licensors, protected by United States and international intellectual property laws.
Nothing in these Terms transfers any ownership rights to you. Unauthorized use of Admitly's intellectual property is strictly prohibited and may result in civil or criminal liability.
10. User-Generated Content
You may submit content to the Platform, including essays, notes, messages, profile information, and other materials ("User Content"). By submitting User Content, you grant Admitly a worldwide, royalty-free, non-exclusive license to store, process, and display your User Content solely for the purpose of providing and improving the Platform.
You represent and warrant that:
- You own or have the necessary rights to the User Content you submit
- Your User Content does not infringe the intellectual property rights, privacy rights, or any other rights of any third party
- Your User Content does not contain defamatory, unlawful, obscene, or otherwise objectionable material
Admitly does not claim ownership of your User Content. Admitly reserves the right to remove any User Content that violates these Terms or that we deem, in our sole discretion, to be harmful to users or the Platform.
11. Third-Party Services & Links
The Platform may integrate with or contain links to third-party websites, services, or tools, including but not limited to Google (for authentication or analytics), payment processors, or college information databases. These third-party services are governed by their own terms of service and privacy policies.
Admitly does not endorse, control, or assume responsibility for any third-party services. Your use of third-party services is at your own risk. Admitly shall not be liable for any damages or losses caused by or related to your use of or reliance on any third-party content, goods, or services available through the Platform.
12. Payments, Subscriptions & Refunds
Certain features of the Platform may require payment of fees. All fees are stated in U.S. dollars and are exclusive of applicable taxes unless otherwise specified.
One-Time Purchases
One-time purchases (e.g., access packages priced at $129) are non-refundable once access has been granted or the service has been consumed, except where required by applicable law.
Subscriptions
Subscription plans will automatically renew at the end of each billing cycle unless you cancel before the renewal date. You may cancel at any time through your account settings. Refunds for unused portions of a subscription period are not provided unless required by applicable law.
Billing Errors
If you believe you have been charged in error, you must notify us within 30 days of the charge at billing@admitly.com. We will investigate and, if appropriate, issue a correction.
Admitly reserves the right to change pricing at any time. Changes to pricing will be communicated with reasonable notice and will not affect the current billing cycle for active subscribers.
13. Termination
Admitly reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including for violations of these Terms, fraudulent activity, or any behavior that Admitly deems harmful to the Platform or other users.
You may terminate your account at any time by contacting support@admitly.com. Upon termination, your right to use the Platform ceases immediately. Provisions of these Terms that by their nature should survive termination will remain in effect, including Sections 9, 14, 15, 16, and 17.
14. Disclaimer of Warranties
Admitly does not warrant that:
- The Platform will be uninterrupted, secure, or error-free
- Any results obtained from the Platform will be accurate, reliable, or complete
- Any defects in the Platform will be corrected
- The Platform or its servers are free from viruses or other harmful components
Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, Admitly's warranties are limited to the maximum extent permitted by law.
15. Limitation of Liability
In no event shall Admitly's total cumulative liability to you for all claims arising out of or relating to these Terms or the Platform exceed the greater of: (a) the total amount you paid to Admitly in the twelve (12) months preceding the claim, or (b) one hundred U.S. dollars ($100).
This limitation applies regardless of the legal theory on which the claim is based (contract, tort, negligence, warranty, or otherwise) and even if Admitly has been advised of the possibility of such damages.
16. Indemnification
You agree to indemnify, defend, and hold harmless Admitly and its officers, directors, employees, contractors, agents, licensors, and successors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of or inability to use the Platform
- Your violation of these Terms
- Your User Content
- Your violation of any third party's rights, including intellectual property or privacy rights
- Any misrepresentation you make in connection with the Platform
Admitly reserves the right, at your expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.
17. Dispute Resolution & Arbitration
Informal Resolution First
Before filing any formal legal claim, you agree to contact Admitly at legal@admitly.com and provide a written description of the dispute. We will attempt to resolve the dispute informally within 30 days.
Binding Arbitration
If informal resolution fails, any dispute, claim, or controversy arising out of or relating to these Terms or the Platform shall be resolved by binding individual arbitration, rather than in court. The arbitration shall be conducted by a recognized arbitration body (such as JAMS or AAA) under its applicable rules, with proceedings conducted in English.
Class Action Waiver
Exceptions
Either party may seek emergency injunctive relief from a court of competent jurisdiction to prevent irreparable harm. Nothing in this section prevents Admitly from seeking injunctive or other equitable relief to protect its intellectual property rights.
18. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States of America, without regard to its conflict of law provisions.
For any disputes not subject to arbitration, you consent to the exclusive personal jurisdiction and venue of the state and federal courts located in Delaware, and waive any objection to such jurisdiction or venue.
19. Changes to These Terms
Admitly reserves the right to modify these Terms at any time. When we make material changes, we will update the "Last Updated" date at the top of this page and, where appropriate, provide notice through the Platform or via email.
Your continued use of the Platform after any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request account deletion by contacting us.
